Preferred Stock Pro Rata Share definition

Preferred Stock Pro Rata Share means the amount determined by multiplying the total number of shares of Common Stock (including securities exercisable for or convertible into Common Stock) offered for sale by the Corporation in a Financing to all parties by a fraction, (x) the numerator of which is the total number of shares of Common Stock (including securities convertible into Common Stock) held by such stockholder and (y) the denominator of which is the total number of shares of Common Stock (including securities convertible into Common Stock) then outstanding plus any shares reserved for issuance pursuant to plans approved by the board of directors of the Corporation.
Preferred Stock Pro Rata Share means the amount determined by multiplying the total number of shares of Common Stock (including securities exercisable for or convertible into Common Stock) offered for sale by the corporation in a Financing to the holders of Series A Preferred Stock, Series B Preferred Stock, Series C Preferred Stock and Series D Preferred Stock by a fraction, (x) the numerator of which is the total number of shares of Series A Preferred Stock, Series B Preferred Stock, Series C Preferred Stock and Series D Preferred Stock (on an as-converted basis) held by such holder and (y) the denominator of which is the total number of shares of Common Stock (including securities convertible into Common Stock) then outstanding.
Preferred Stock Pro Rata Share means the amount determined by multiplying the total number of shares of Capital Shares offered for sale by the corporation in a Financing to the holders of Series A Preferred, Series B Preferred and Series C Preferred by a fraction, (x) the numerator of which is the total number of shares of Common Stock (including shares of Common Stock issuable upon conversion of shares of Series A Preferred, Series B Preferred and Series C Preferred) held by a holder and (y) the denominator of which is the total number of shares of Common Stock (including any shares of Common Stock into which outstanding shares of Preferred Stock are convertible) then outstanding.
