Preferred Escrow Amount definition

Preferred Escrow Amount means the aggregate amount of the Preferred Stock Preference Payment otherwise payable to the holders of Target Series A Preferred Stock and Target Series B Preferred Stock that is used to fund the Escrow Amount, if any, which shall be the difference equal to (i) the Escrow Amount minus (ii) the Common Escrow Amount.
Preferred Escrow Amount shall consist of $0.10 per Preferred Share withheld from the Per Share Liquidation Preference (5,795,200 Preferred Shares x $0.10 per Preferred Share = $579,520). The "Common Escrow Amount" shall be the difference between the Escrow Amount and the Preferred Escrow Amount, with such Common Escrow Amount being withheld on a pro rata basis from each Common Share exchanged in consideration for receiving a pro rata share of the Common Per Share Amount.
