Preconditions definition

Preconditions means the preconditions set forth in Article 6.1 hereof;
Preconditions means that with respect to any Lease, the Tenant thereunder has (i) taken possession of its demised space and (ii) begun to pay regular installments of Rent (which shall not include the payment by Tenant to Borrower of the first month's installment of rent upon a Tenant's execution of a Lease) and that all free rent periods have expired, as certified to Lender by Borrower pursuant to an Officer's Certificate.
Preconditions means, in respect of a RailCorp Enabling Works Package, the preconditions applicable to that RailCorp Enabling Works Package set out in schedule 19.

Preconditions. (quoted terms herein below being defined only for purposes of this definition), when applied to releases of Collateral or Acquired Slots under Section 4.04(f) of the Pledge Agreement or Section 6.02(b) of the Master Sub-License Agreement ("releases") or to the reduction of Designated Locations pursuant to the last paragraph of the definition thereof (the "Reduction"), means (i) no Event of Default, no Default pursuant to Section 6.1(a), (e), (f), (h), (i) or (j) of the Indenture has occurred and is continuing or will result therefrom, and the Company so certifies to the Trustee in an Officers' Certificate, (ii) the Company has delivered an Officers' Certificate to the Indenture Trustee, the Collateral Agent (in the case of the Reduction, a release of Collateral pursuant to Section 4.04(f) of the Pledge Agreement or a determination of Substitution Requirements with respect to any Event of Loss) and the Slot Trustee (in the case of a release of Collateral pursuant to Section 6.02(b) of the Master Sub-License Agreement or a determination of Substitution Requirements with respect to any Event of Loss, or sale, with respect to an Acquired Slot) certifying that the Company complies with the Security Ratio requirements set forth in the definition thereof or, with respect to the Reduction, the ratio set forth in the last paragraph of the definitions of "Designated Locations", assuming, in each case, that the definition of "Fair Market Value" was "with respect to any Collateral or Acquired Slots, the fair market value (on the basis of a hypothetical sale negotiated in an arm's length free market transaction between a willing seller and a willing and able buyer, neither of whom is under undue pressure to complete the transaction) as determined by and as of the date set forth in an Officers' Certificate", and (iii) the Company has complied with any applicable requirements of the TIA.
