Definition of Pre-Completion Seller Taxes

  1. Pre-Completion Seller Taxes means (a) any Liability for Tax of any member of the Seller's Group (other than the Group Companies) or its Affiliates for any Tax period that is imposed on a Group Company and, (b) any Tax of any Person (other than a Group Company) imposed on a Group Company as a transferee or successor, by Contract or pursuant to any Law, which Tax relates to an event, status or transaction occurring or existing on or before Completion;
