Pre-Closing Environmental Condition definition

Pre-Closing Environmental Condition means any Environmental Requirements, Remedial Action or Third-Party Claims resulting from or arising out of any Environmental Condition existing or occurring at or prior to the Closing. Notwithstanding the foregoing, the term “Pre-Closing Environmental Condition” shall not include any routine costs of complying with Environmental Requirements that are incurred in the ordinary course of business prior to the Closing but that have not become due and payable according to customary terms until after the Closing.
Pre-Closing Environmental Condition means: (1) the presence, disposal or release as of the Closing Date of Hazardous Material in, on, under or emanating from any facility (to the extent of the amounts of such Hazardous Material then present) regardless of how the Hazardous Material came to rest at, on, under or emanating from the facility, and (ii) any other act, omission or condition prior to the Closing Date which may give rise to liability under any Environmental Laws (to the extent of such act, omission or condition as of the Closing Date).
Pre-Closing Environmental Condition means any release of Hazardous Substances at the Plants identified in the Environmental Assessment that is a violation of Environmental Law that requires remediation under any applicable Environmental Law or any other violation of any Environmental Law at the Plants or on or under the Real Property occurring prior to the Closing.

Pre-Closing Environmental Condition means the presence of underground storage tanks or Hazardous Material existing on the Owned Real Property as of the Closing Date.
