Definition of Pre-Closing Capital Expenditure Amount

  1. Pre-Closing Capital Expenditure Amount means the aggregate capital expenditures incurred and paid for by the Seller or the Companies in accordance with the CapEx Budget. For the avoidance of doubt, capital expenditures that do not adhere to the CapEx Budget shall not count toward the calculation of the Pre-Closing Capital Expenditure Amount, except to the extent the Seller has obtained the Buyer's prior written consent for such capital expenditures.

Pre-Closing Capital Expenditure Amount means the aggregate capital expenditures incurred and paid for by the Seller or the Companies in accordance with the CapEx Budget.
