Pre-Closing 2017 Lead Generation Budget definition

Pre-Closing 2017 Lead Generation Budget means an amount equal to (i) the amount of the 2017 Lead Generation Budget, multiplied by (ii) a fraction, (A) the numerator of which is the number of days from September 1, 2017 until the earlier of the Closing Date and January 1, 2018 (if any), and (B) the denominator of which is the number of days from September 1, 2017 until January 1, 2018.
