Pre-Bonus Operating Income. (hereafter “PBOI”) means the net operating income of the Company, exclusive of passive income and calculated before non-operating interest, taxes, extraordinary items, and certain special items (such as special compensation payouts on account of a merger) and before the accrual of Incentive Awards under the Plan and awards under the Company’s 2004 Key Executive Incentive Compensation Plan or any successor plan.
Pre-Bonus Operating Income. (hereafter “PBOI”) means the consolidated operating income of the Company, calculated before non-operating interest, taxes and extraordinary items and before the accrual for any Incentive Awards and any “Actual Awards” as defined under the Company’s 2014 Key Executive Incentive Compensation plan, or any successor plan, in each case determined in a manner consistent with the Company’s consolidated statement of income for the applicable Plan Year.
Pre-Bonus Operating Income for a given Fiscal Year shall mean earnings (i) before (w) income tax expense, (x) amortization of intangibles resulting from the Contribution and the acquisition of the Interests as contemplated hereby and by the Purchase Agreement, (y) any reduction for the Bonus Pool of the Company for such Fiscal Year and (z) any charge relating to the payment of severance under Section 4(a) of the employment agreements with Xxxxxx Xxxxxxxx or Xxxxxxx X. Xxxxxxxx following a termination of employment thereof without the consent of Xx. Xxxxxxxx, but (ii) after the effect of any development fee payable by the Company to Nuveen as provided in Section 8.1(a).

Pre-Bonus Operating Income for a given Fiscal Year shall mean earnings before income tax, depreciation, investment income, interest expense, amortization expense and any expense related to the issuance or vesting of any Interests that have been issued or awarded on or prior to the date hereof of the Company for such Fiscal Year and before any reduction for the Bonus Pool for such Fiscal Year.

Gross income shall not be diminished as a result of the Mortgage or the creation of any intervening estate or interest in the Property or any part thereof.

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus. Notwithstanding the foregoing, if the Executive breaches any of the provisions contained in Paragraphs 4 and 5 of this Agreement, all payments of the Severance Amount shall immediately cease. Notwithstanding the foregoing, in the event Executive terminates his employment for Good Reason as provided in Subparagraph 6(e), he shall be entitled to the Severance Amount only if he provides the Notice of Termination provided for in Subparagraph 6(f) within thirty (30) days after the occurrence of the event or events which constitute such Good Reason as specified in clauses (A), (B), (C), (D), (E) and (F) of Subparagraph 6(e);
