  1. PPDA Material Adverse Effect means any event, change, occurrence, effect, fact or circumstance having, or would reasonably be expected to have a material adverse effect on (i) the ability of PPDA or Purchaser to perform its obligations under this Agreement or to consummate the transactions contemplated hereby, or (ii) the business, properties, assets, liabilities, prospects, results of operations or condition (financial or otherwise) of PPDA and its subsidiaries (taken as a whole), other than events, changes, occurrences, effects, facts or circumstances affecting the industry or the economy in general, and not specifically relating to PPDA or its subsidiaries, and other than events, changes, occurrences, effects, facts or circumstances resulting from this Agreement, the transactions contemplated hereby or the announcement thereof.
