Definition of Power Bill Adjustment Amount


Power Bill Adjustment Amount means an amount equal to (i) the Safe Harbor Power Bill for the month in which the Closing occurs (and which will be billed by Safe Harbor in the month following Closing), multiplied by (ii) a fraction, the numerator of which is the number of days in such month preceding the Closing Date and the denominator of which is the total number of days in such month. If the Closing occurs in December 2010, the Safe Harbor Power Bill referred to in clause (i) shall exclude any of the True-Up Amount for purposes of determining the Power Bill Adjustment Amount.
