Powdermet Exchange Shares means two hundred forty four thousand (244,000) of the shares owned by Abakan in Powdermet and represented by the Powdermet Certificate.

  • The obligations of Abakan to transfer the Powdermet Exchange Shares to Powdermet at the Closing are subject to the fulfillment of the condition that, at the Closing, the representations and warranties of Powdermet set forth in this Agreement shall be true and correct in all material respects, in each case as of the Effective Date of this Agreement and as of the Closing as though made as of the Closing.

  • Exchange Shares has the meaning set forth in Section 2.01(b).
