Definition of Potential Undisclosed Environmental Liability

  1. Potential Undisclosed Environmental Liability means any fact, condition, or circumstance not covered by the items in Schedule 3.13(a)(i), which (a) becomes known to the Buyer after the date of this Agreement, (b) Buyer reasonably believes may give rise to a material Environmental Liability which would reasonably be expected to constitute an Assumed Liability pursuant to this Agreement and (c) either (i) arises after the date of this Agreement or (ii) arose prior to the date hereof but is not disclosed on Schedule 3.13(a)(i); provided that, in no event shall any fact, condition or circumstance relating to the matters described in items 2 or 3 on Schedule 3.13(b) result in a Potential Undisclosed Liability.

Potential Undisclosed Environmental Liability means any fact, condition, or circumstance not covered by the items in Schedule 3.13(a)(i), which (a) becomes known to the Buyer after the date of this Agreement, (b) Buyer reasonably believes may give rise to a material Environmental Liability which would reasonably be expected to constitute an Assumed Liability pursuant to this Agreement and (c) either (i) arises after the date of this Agreement or (ii) arose prior to the date hereof but is not disclosed on Schedule 3.13(a)(i); provided that, in no event shall any fact, condition or circumstance relating to the matters described in items 2 or 3 on Schedule 3.13(b) result in a Potential Undisclosed Liability.
