Definition of Post-Interest Shares

  1. Post-Interest Shares means, for any Interest Date and without taking into account the delivery of any Pre-Interest Shares, that number of shares of Common Stock equal to the applicable amount of Interest to be paid in Interest Shares for such Interest Date divided by the Interest Conversion Price, rounded up to the nearest whole number.

Definition of Post-Interest Shares in Senior Secured Convertible Note

Post-Interest Shares means, for any Interest Date and without taking into account the delivery of any Pre-Interest Shares, that number of shares of Common Stock equal to the applicable amount of Interest to be paid in Interest Shares for such Interest Date divided by the Interest Conversion Price, rounded up to the nearest whole number.

Post-Interest Shares means, for any Interest Date, that number of shares of Common Stock equal to the applicable amount of Interest to be paid in Interest Shares on such Interest Date divided by the Interest Conversion Price (without taking into account the delivery of any Pre-Interest Shares), rounded up to the nearest whole share of Common Stock.
