Post Effective Lock-up Date definition

Post Effective Lock-up Date means the date which is one hundred eighty (180) days after the Effective Date, but not counting for such purposes the days, if any, during which sale of Registrable Securities was suspended after the Effective Date.2 _________________ 1By way of clarification: no shares (with the exception of shares referred to in the last sentence of Section 1) are permitted to be sold by the Principal through and including the Principal’s Lock-up Date. 2By way of illustration: If the sale of Registrable Securities was suspended for ten (10) days in the interim, the applicable Post Effective Lock-up Date will be one hundred ninety (190) days after the Effective Date. If on the 185th day after the Effective Date, the sale of Registrable Securities was suspended again for five (5) days, the Post Effective Lock-up Date will be one hundred ninety-five (195) days after the Effective Date.

  • Post-Effective Limit means (x) the minimum number of Shares that would give rise to reporting or registration obligations (except for any filing requirements on Form 13F, Schedule 13D or Schedule 13G under the Exchange Act, in each case, as in effect on the Trade Date) or other requirements (including obtaining prior approval from any person or entity) of a Dealer Person, or would result in an adverse effect on a Dealer Person, under the Applicable Provisions, as determined by Dealer in its reasonable discretion, minus (y) 1.0% of the number of Shares outstanding.

  • Transfer Effective Date shall have the meaning set forth in each Commitment Transfer Supplement.

  • Target Effective Date has the meaning specified in Section 2.01(a).

  • IPO Effective Date means the date upon which the Securities and Exchange Commission declares the initial public offering of the Company's common stock as effective.

  • Release Effective Date means the date the Release becomes effective and irrevocable.

  • Restatement Effective Date means the date on which the conditions specified in Section 4.01 are satisfied (or waived in accordance with Section 9.02).

  • Extension Effective Date has the meaning assigned to such term in Section 2.22(a).

  • SEC Effective Date means the date the Registration Statement is declared effective by the Commission.

  • Resignation Effective Date has the meaning specified in Section 9.06(a).

  • First Restatement Effective Date means the “Restatement Effective Date” as defined in the First Amendment Agreement.

  • Merger Effective Date means the date on which the Merger is consummated.

  • Contract Effective Date means the date agreed upon by the parties for beginning the period of performance under the contract. In no case shall the effective date precede the date on which the contracting officer or designated higher approval authority signs the document.

  • Increase Effective Date has the meaning specified in Section 2.14(d).

  • First Effective Time has the meaning specified in Section 2.02.

  • Plan Effective Date means the occurrence of the effective date of the Plan according to its terms.

  • Required Effective Date means the relevant Initial Required Effective Date or Increased Required Effective Date (as those terms are defined below).

  • Initial Effective Date means the date that the Initial Registration Statement has been declared effective by the SEC.

  • Second Restatement Effective Date has the meaning specified in the Second Amendment Agreement.

  • Assignment Effective Date as defined in Section 10.6(b).

  • Rollover Notification Date shall be defined as set forth in the Prospectus under "Summary of Essential Information."

  • Amendment Effective Date has the meaning set forth in the Amendment Agreement.

  • Purchase Termination Date means the date upon which the Transferor shall cease, for any reason whatsoever, to make purchases of Receivables from the Seller under the Receivables Purchase Agreement or the Receivables Purchase Agreement shall terminate for any reason whatsoever.

  • Agreement Effective Date means the date on which the conditions set forth in Section 2 have been satisfied or waived by the appropriate Party or Parties in accordance with this Agreement.

  • Early Termination Effective Date is defined in Section 4.2 of this Agreement.

  • PAL effective date generally means the date of issuance of the PAL permit. However, the PAL effective date for an increased PAL is the date any emissions unit that is part of the PAL major modification becomes operational and begins to emit the PAL pollutant.

  • Transition Effective Date has the meaning set forth in Section II.D.3.
