Definition of Post-Closing Parent Shares


Post-Closing Parent Shares means such number of shares of Parent Common Stock as shall equal the Fully Diluted Pre-Closing Parent Shares divided by the Parent Stockholder Percentage.

Examples of Post-Closing Parent Shares in a sentence

As of the Effective Time, a number of shares of Parent Common Stock equal to the sum of (a) 15% of Post-Closing Parent Shares, plus (b) the number of shares of Parent Common Stock reserved for issuance pursuant to each outstanding Parent Stock Option, plus (c) the number of shares of Parent Common Stock to be reserved for issuance pursuant to each outstanding Company Stock Option, shall be reserved for issuance under the Parent Stock Option Plan.
Parent shall keep complete and accurate records in all material respects pertaining to the issuance of Post-Closing Parent Shares, in sufficient detail to permit the Equityholder Representative to confirm the accuracy of calculation included in such quarterly statement.
Within fifteen (15) days after the end of each fiscal quarter, Parent shall provide the Equityholder Representative a statement of the calculation of the number of Post-Closing Parent Shares issued during such previous fiscal quarter, in reasonably sufficient detail to permit confirmation of the accuracy of such calculation by the Equityholder Representative.
