Definition of Post-Change of Control Period


Post-Change of Control Period means the period beginning on the Change of Control Date and ending 24 months after the date of the related Change of Control.

Examples of Post-Change of Control Period in a sentence

If the Executives employment with the Company is terminated (i) by the Company without Cause or (ii) by the Executive for Good Reason, in each case other than during the Post Change of Control Period, the Executive shall be eligible for the benefits described in Section 4.2 (the Standard Severance Benefits).
The Executive shall be eligible for the benefits described in Section 3.2 (the Change of Control Severance Benefits) if there has been a Change of Control and during the twelve (12) month period commencing on the Change of Control Date (the Post Change of Control Period), the Executives employment with the Company is terminated (i) by the Company without Cause or (ii) by the Executive for Good Reason.
This Agreement shall expire at the end of the applicable Post-Change of Control Period.
During the [***] of the Post-Change of Control Period, the terms of this Agreement shall remain in full force and effect.
In the event of a Change of Control of OBI or OBI's acquiring party (or the successor in interest thereto), as applicable, during the Post-Change of Control Period, the Post-Change of Control Period shall renew and the terms of this Agreement shall remain in force and effect in accordance with this Section 10.5.
