Definition of Post-Arrangement Transaction Proposal


Post-Arrangement Transaction Proposal means any proposal or offer (written or oral) or any public announcement of an intention to make any proposal or offer, with respect to any merger, consolidation, amalgamation, take-over bid, reverse take-over bid, tender offer, arrangement, private placement, recapitalization, liquidation, dissolution, share exchange, reorganisation, compromise or business combination, directly or indirectly involving the Corporation or Comamtech (as the case may be); ''Post-Signing Tax Returns'' has the meaning ascribed thereto in Section 5.1.6(a);
