Definition of Portfolio Pricing Practices


Portfolio Pricing Practices means the Borrower's written Amended and Restated Portfolio Pricing Practices as of the Effective Date (attached hereto as Exhibit E) together with any amendment, change, modification or supplement thereto, provided that any amendment, change, supplement or modification thereto that (a) is, or could reasonably be expected to be, material and adverse to the Lenders and (b) was effected without (x) the approval of a majority of the independent directors of the Board of Directors of the Borrower and (y) the consent of the Administrative Agent (with the approval of the Required Lenders) (such consent not to be unreasonably withheld or delayed) shall be deemed excluded from the definition of "Portfolio Pricing Practices" for purposes of this Agreement.

Examples of Portfolio Pricing Practices in a sentence
