Portfolio Outstanding Amount definition

Portfolio Outstanding Amount means, on each Interest Payment Date, the aggregate Outstanding Principal of all the Claims as at the end of the immediately preceding Collection Period, and “Initial Portfolio Outstanding Amount” means the aggregate of the outstanding principal amount of all the Claims as at the Valuation Date (net of any payments of principal due in respect of the Claims as of, but excluding, the Valuation Date), being equal to € 3,499,600,837.81.The Issuer is entitled, pursuant to the Intercreditor Agreement, to dispose of the Claims in order to finance the redemption of the Notes in the circumstances described above.Prior to the service of an Issuer Acceleration Notice, the Issuer may redeem the Notes of all Classes (in whole but not in part) at their Principal Amount Outstanding (plus any accrued but unpaid interest) in accordance with the Post-Enforcement Priority of Payments and subject to the Issuer having sufficient funds to redeem all the Notes (or the Class A Notes only, if all the Junior Noteholders consent) and to make all payments ranking in priority, or pari passu, thereto, on any Interest Payment Date if, by reason of a change in law or the interpretation or administration thereof since the Issue Date:
