Policy Assignment definition

Policy Assignment means the Assignment of Life Insurance Policy as Collateral, in substantially the form of Exhibit C hereto, duly executed by Borrower to Bank to secure the Obligations, including any amendment or modification thereof.
Policy Assignment has the meaning set forth in Section 2.3(c). “Policy Information Sheet” has the meaning set forth in Section 2.1(a).
Policy Assignment means an assignment by MGP of its rights and interests in the Insurance Policy to MF Global (or an Affiliate of MF Global);

  • From the date of this Agreement until 60 days following the Closing Date, Seller shall use commercially reasonable efforts to deliver to Buyer the Environmental Policy Assignment Agreement, duly executed by all of the parties thereto, as promptly as practicable after the date hereof.

  • If the consent of the carrier is required and obtained, Seller and Guardion shall execute and deliver the RWI Policy Assignment in a form reasonably satisfactory to Buyer assigning the RWI Policy to Buyer or the Company, as applicable, pursuant to the assignment provisions of the RWI Policy, along with all contractual documents under which coverage was issued.

  • Without limiting the foregoing, as a condition to Our consent, the transferee of any Policy Assignment will enter into Our standard agency or agent agreement.

  • Any such notice will be accompanied by all documentation required by AmCap Affiliate guidelines, and at a minimum will identify each Covered Policy that is or would be affected by the Policy Assignment.

Policy Assignment means the assignment dated on or around the Commencement Date in favour of Barclays of all and any of the Company's rights, interest and benefit arising under or in connection with the Policy and/or the noting of Barclays as sole loss payee under the Policy.

  • Charterparty Assignment means, in relation to each Ship, an assignment of the rights of the Owner of that Ship under any charterparty or other contract of employment referred to in Clause 14.16 executed or to be executed by the relevant Owner in favour of the Security Trustee, in each case, in such form as the Lenders may approve or require and, in the plural, means all of them;

  • Loan Assignment has the meaning set forth in the Purchase and Sale Agreement.

  • General Assignment means, in relation to a Ship, a general assignment of (inter alia) the Earnings, the Insurances and any Requisition Compensation relative to that Ship in the Agreed Form and, in the plural, means all of them;
