The initial Conversion Price for the Series A Preferred Stock shall be the Original Issue Price for the Series A Preferred Stock divided by two; provided however, that effective upon the Poet Merger Effective Time, the Conversion Price shall be $1.42.
Merger Effective Time shall have the meaning assigned to the term “Effective Time” in the Merger Agreement.
Effective Time has the meaning set forth in Section 2.2.
First Effective Time has the meaning specified in Section 2.02.
Merger Closing shall have the meaning set forth in Section 2.2.
Effective Time of the Merger means the time as of which the Merger becomes effective, which shall occur on the Funding and Consummation Date.

Merger Sub 2 shall have the meaning given in the Recitals hereto.
Merger Sub 1 has the meaning set forth in the Preamble.
First Merger shall have the meaning given in the Recitals hereto.
Merger Closing Date the Closing Date (as defined in the Merger Agreement).
Merger Effective Date means the date on which the Merger is consummated.
MergerCo has the meaning set forth in the Preamble.
Merger Sub Board means the board of directors of Merger Sub.
Second Merger has the meaning set forth in the Recitals.
Initial Merger Consideration has the meaning set forth in Section 2.2(a).
Merger Sub has the meaning set forth in the Preamble.
Merger Sub I has the meaning set forth in the Preamble.
Merger Agreement has the meaning set forth in the Recitals.
Merger Sub II has the meaning set forth in the Preamble.
Bank Merger Agreement has the meaning ascribed thereto in the recitals to this Agreement.
MergerSub has the meaning set forth in the Preamble.
Closing Merger Consideration has the meaning set forth in Section 2.02
Merger Subsidiary shall have the meaning set forth in the preamble to this Agreement.
Distribution Effective Time means 12:01 a.m., Eastern time, on the Distribution Date.
Total Merger Consideration has the meaning set forth in Section 2.2(a).
Final Merger Consideration has the meaning set forth in Section 2.10(b)(ii)(D).
