PMI Technology means PMI's proprietary technology, including PMI services, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), network designs, know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by PMI or licensed to PMI from a third party) and also including any derivatives, improvements, enhancements or extensions of PMI Technology conceived, reduced to practice, or developed during the term of this Agreement by a Party.
Confidential Information also will include, but not be limited to, PMI Technology, PFL Technology, Customer Technology, and the terms and conditions of this Agreement.
Except for the rights expressly granted herein, this Agreement does not transfer from PMI or PFL to Customer any PMI Technology or PFL Technology, and all right, title and interest in and to PMI Technology and PFL Technology will remain solely with PMI and PFL, respectively.
In doing so, PMI may develop Inventions that relate to the PMI Technology.
During the course of the project, PMI may apply some of its own proprietary technology as well as technology relating to the manufacture and purification of materials, the formation of compounds using or containing such materials, and the processing of such compounds into powders (collectively, the "PMI Technology") to the development and manufacture of the Products.
