Phibro Cost of Goods definition

Phibro Cost of Goods for any period shall mean the sum of the following, in each case to the extent reasonable in light of the relevant circumstances, without duplication: (i) actual cost paid by Phibro (including to the Manufacturer(s)) for raw materials used in the manufacture of Products by the Manufacturer(s) or for obsolete and/or expired raw materials or components; (ii) the direct cash cost to Phibro of production of Products including direct labor and the cost of manufacturing free goods or samples in the event Phibro is the Manufacturer thereof; (iii) packaging costs paid by Phibro; (iv) costs to Phibro of shipping Products to Customers; (v) payments by Phibro to licensors (including [*****]) for license rights required in connection with the manufacture or sale of any Products; (vi) actual amounts paid by Phibro to third party Manufacturers, including amounts paid to Manufacturers with respect to free goods or samples; and (vii) payments by Phibro to other third parties in connection with the manufacture or distribution of Products, including payments to [*****] for sequencing services. For avoidance of doubt, “Phibro Cost of Goods” (a) does include costs associated with the manufacture of free, sample, or otherwise discounted Products, and (b) does not include non-cash costs such as depreciation or amortization or any costs that are not out-of-pocket cash costs incurred by Phibro.

  • COGS means the cost of goods sold as determined in accordance with U.S.GAAP;

  • Rate of Gross Profit means the gross profit earned expressed as a percentage of the turnover during the period between the date of the commencement of the business and the date of the incident.

  • COGSA means the Carriage of Goods by Sea Act of the United States of America approved on 16th April 1936.

  • Milk product or "dairy product" means cottage cheese, dry curd cottage cheese, reduced fat cottage cheese, lowfat cottage cheese, cream, light cream, light whipping cream, heavy cream, heavy whipping cream, whipped cream, whipped light cream, sour cream, acidified sour cream, cultured sour cream, half-and-half, sour half-and-half, acidified sour half-and-half, cultured sour half-and-half, reconstituted or recombined milk and milk products, concentrated milk, concentrated milk products, skim milk, lowfat milk, frozen milk concentrate, flavored milk, eggnog, buttermilk, cultured milk, cultured lowfat milk, cultured skim milk, yogurt, lowfat yogurt, nonfat yogurt, acidified milk, acidified lowfat milk, acidified skim milk, low-sodium milk, low-sodium lowfat milk, low-sodium skim milk, lactose-reduced milk, lactose-reduced lowfat milk, lactose-reduced skim milk, aseptically processed and packaged milk, milk products with added safe and suitable microbial organisms, and any other milk product made by the addition or subtraction of milkfat or addition of safe and suitable optional ingredients for protein, vitamin, or mineral fortification. Unless a product is considered a milk product under this subdivision, milk product does not include dietary products, infant formula, ice cream or other desserts, cheese, or butter. Milk products include the following:

  • Bondable stranded costs rate order means one or more

  • Royalty Rate means the percentage defined in Exhibit B.

  • own-source revenue means adjusted underlying revenue other than revenue that is not under the control of council (including government grants)

  • Routine Patient Costs means all health care services that are otherwise covered under the Group Contract for the treatment of cancer or other Life-threatening Condition that is typically covered for a patient who is not enrolled in an Approved Clinical Trial.

  • Cost of Sales means any costs incurred of the type included in the “Cost of sales (excluding depreciation expense)” line item in the consolidated statement of operations of the Partnership prepared in accordance with GAAP, as presently applied.

  • Supplier Profit Margin means, in relation to a period or a Milestone (as the context requires), the Supplier Profit for the relevant period or in relation to the relevant Milestone divided by the total Call Off Contract Charges over the same period or in relation to the relevant Milestone and expressed as a percentage;

  • Tobacco product means any substance containing tobacco leaf, including but not limited to, cigarettes, cigars, pipe tobacco, hookah tobacco, snuff, chewing tobacco, dipping tobacco, bidis, blunts, clove cigarettes, or any other preparation of tobacco; and any product or formulation of matter containing biologically active amounts of nicotine that is manufactured, sold, offered for sale, or otherwise distributed with the expectation that the product or matter will be introduced into the human body by inhalation; but does not include any cessation product specifically approved by the U.S. Food and Drug Administration for use in treating nicotine or tobacco dependence.

  • Net Sales Revenue shall have the meaning as set out in Schedule "A"

  • Net Sales means [***].

  • ex-works price means the price paid for the product ex works to the manufacturer in the EU or in a SADC EPA State in whose undertaking the last working or processing is carried out, provided the price includes the value of all the materials used, minus any internal taxes paid which are, or may be, repaid when the product obtained is exported;

  • Support Cost Rate means the flat rate at which the Partner will be reimbursed by UN Women for its Support Costs, as set forth in the Partner Project Document and not exceeding a rate of 8% or the rate set forth in the Donor Specific Conditions, if that is lower. The flat rate is calculated on the eligible Direct Costs.

  • FTE Rate means [***].

  • Development Cost means the total of all costs incurred in the completion of a Development excluding Developer Fee, operating deficit reserves, and total land cost as typically shown in the Development Cost line item on the development cost pro forma.

  • Aerosol coating product means a pressurized coating product containing pigments or resins that dispenses product ingredients by means of a propellant, and is packaged in a disposable can for hand-held application, or for use in specialized equipment for ground traffic/marking applications.

  • Fully Loaded Cost means the direct cost of good or service plus all applicable indirect charges and overheads.

  • Manufacturing Know-How means, with respect to the Product or any Variant thereof, the technology, data, designs, processes, methods, specifications and other know-how used in connection with the formulation, manufacture, labeling, packaging, quality control, release testing, and production of the Product, and all ingredients used therein and portions thereof.
