Pharmacy Inventory definition

Pharmacy Inventory means, with respect to the Pharmacies, the entire inventory of saleable legend drug products located in the Pharmacies on the Closing Date.
Pharmacy Inventory means the contents of all unopened, opened or partially filled containers of pharmacy federal legend drug products held by Seller relating to the Business and located at the Leased Premises.
Pharmacy Inventory means all usable pharmacy inventory held or used in the Business.

  • Representatives of Buyers will be permitted to observe such physical inventory and will be permitted to make test counts of Pharmacy Inventory and receive copies of the records of the physical inventory conducted pursuant to this Section 2.11.

  • In connection with such inventory, Sellers and Buyers shall jointly determine if any pharmacy supplies or inventory are unusable or obsolete, which unusable and obsolete supplies shall be excluded from the calculation of the Value of Pharmacy Inventory.

  • Other than Pharmacy Inventory, inventory is not recorded as a current asset on the Historical Financial Information.

  • The Value of Pharmacy Inventory shall be used for purposes of preparing the Final Net Working Capital.

  • Not more than fifteen (15) days prior to the Closing Date, Sellers will perform a physical inventory at the Facilities to verify the levels and amounts of the Pharmacy Inventory.

  • Pharmacy Inventory is carried at the most current vendor price on the Historical Financial Information.


More Definitions of Pharmacy Inventory

Pharmacy Inventory means all pharmaceutical inventories owned by Seller and located at the Stores (including to the extent contained in open bottles) that are not excluded from purchase under the criteria set forth in Section 6.11(a), including (i) all legend drugs and controlled substances required by Law to be dispensed under the supervision of a registered or licensed pharmacist and (ii) all over-the-counter pharmaceutical inventories, but excluding any proprietary branded or expired products.
Pharmacy Inventory means, as to each Borrower and Guarantor, all of such Borrower’s and Guarantor’s Inventory consisting of prescription drugs and prescription pharmaceuticals sold in the ordinary course of business of Borrowers and Guarantors.
