In the case of Deliverables which are for the account of Accenture's non- PEZA sites, any VAT due on the purchase shall be billed as a separate item.
In view of the registration of Accenture with the Philippine Economic Zone Authority (PEZA), sales of goods and services to the PEZA sites of Accenture shall be subject to 0% VAT.
As such, it is bound to comply with all existing PEZA rules and regulations applicable to its business.
For purposes of this Agreement, “Commencement Date” shall mean the date Accenture receives the PEZA approval to perform work or service in Your location through a Letter of Authority (“PEZA LOA”).
For the avoidance of doubt, the term "non-PEZA site" of Accenture shall include sites for which the application for PEZA registration has be filed and still pending with the PEZA.
Notwithstanding this, the parties agree that Accenture shall not be held liable for any breach of this Agreement and/or any Order Confirmation for the non-issuance or delay in the issuance of the PEZA LOA due to the action or inaction of the PEZA authority and other reasons beyond its reasonable control.
Accenture shall use reasonable commercial efforts to secure the PEZA LOA prior to performing any work or service in Your location.
In the event Accenture is required by You to perform any work or service in Your location, the parties acknowledge and agree that Accenture must first secure an approval from PEZA before commencing any work or service in the Your location (“Commencement Date”).
You acknowledge and agree that the issuance of the PEZA LOA is not assured under any circumstances and Accenture shall not perform any work or service in Your location prior to the issuance of the PEZA LOA.
