Petroleum Engineer means an independent petroleum engineer that is an SPE (Society of Petroleum Engineers) Certified Petroleum Professional and is selected and engaged by the Company and approved by the holders of Notes representing at least two thirds (2/3) of the aggregate principal amount of the Notes then outstanding, which approval shall not be unreasonably withheld, conditioned or delayed.

• The Borrower shall submit any such request made by the Borrower to the Administrative Agent and each Lender and, at the time of such request, the Borrower shall (A) deliver to the Administrative Agent and each Lender an updated Engineering Report prepared either by the Borrower or any Approved Petroleum Engineer and (B) notify the Administrative Agent and each Lender of the Borrowing Base requested by the Borrower.

• There are no statements or conclusions in any Reserve Report prepared by the chief engineer of the Borrower (and with respect to a Reserve Report prepared by an Approved Petroleum Engineer, to the knowledge of a Responsible Officer of the Borrower), which are based upon or include misleading information or fail to take into account material information regarding the matters reported therein.
