• Neither PESCO nor any of its consolidated Subsidiaries may, directly or indirectly, assign or transfer any of its Rights, duties, or obligations under any of the Loan Papers.

• No Person who may be deemed to have "control" of PESCO or any of its consolidated Subsidiaries is an "executive officer", "director", or "principal shareholder" of Agent or any Lender.
