Permitted Share Repurchase definition

Permitted Share Repurchase means redemption or repurchase of Equity Interests of the Company, so long as at the time thereof and after giving effect thereto (x) no Default shall have occurred and be continuing and (y) the Adjusted Consolidated Leverage Ratio would be less than 3.0:1.0.
Permitted Share Repurchase has the meaning specified in Section 8.06(f).
Permitted Share Repurchase means, with respect to any Issuer, any publicly disclosed repurchase by such Issuer of shares of such Issuer in open-market transactions at prevailing market prices in an amount that does not, when aggregated with any and all previous such repurchases occurring in the same twelve (12) month period, exceed 7.5% of such Issuer’s market capitalization.

Permitted Share Repurchase shall have the meaning assigned to that term in Section 9.06.
