Permanently Disabled definition

Permanently Disabled means a person who meets the definition in Iowa Code section 483A.4.
Permanently Disabled means that Grantee has qualified for long-term disability benefits under a disability plan or program of the Company or, in the absence of a disability plan or program of the Company, under a government-sponsored disability program and is “disabled” within the meaning of Section 409A(a)(2)(C) of the Code.
Permanently Disabled means the inability of the Employee, by reason of injury, illness or other similar cause, to perform a major part of his duties and responsibilities in connection with the conduct of the business and affairs of the Company, as determined reasonably and in good faith by the Company.

Examples of Permanently Disabled in a sentence

  • If Grantee dies or becomes Permanently Disabled during the period that Grantee is deemed to be in the continuous employ of the Company or a Subsidiary pursuant to Section 4(b), 4(d) or 4(e), then the RSUs will immediately Vest in full upon Grantee’s death or Permanent Disability, except that if Section 4(e) applies, the RSUs will immediately Vest only to the extent that the RSUs would have become Vested during the severance period pursuant to Section 4(e).

  • If Grantee dies or becomes Permanently Disabled (as defined below) while employed by the Company or any Subsidiary, then the RSUs will immediately Vest in full upon ▇▇▇▇▇▇▇’s death or Permanent Disability.

More Definitions of Permanently Disabled

Permanently Disabled means that the Executive, by reason of illness, disease, mental or physical disability or similar cause as determined by a qualified medical practitioner mutually agreed to by the Executive and the Company ("Disability"), is permanently disabled so as to be unable to fulfil the Executive's duties, responsibilities and obligations hereunder and such Disability shall continue for any consecutive 180-day period or for any period of 180 days (whether or not consecutive) in any consecutive 12-month period.
Permanently Disabled means three (3) months of substantially continuous disability. Disability shall be deemed "substantially continuous" if, as a practical matter, Employee, by reason of his mental or physical health, is unable to sustain reasonably long periods of substantial performance of his duties. Frequent long illnesses, though different from the preceding illness and though separated by relatively short periods of performance, shall be deemed to be "substantially continuous". Disability shall be determined in good faith by the Board of Directors whose decision shall be final and binding upon Employee. Employee hereby consents to medical examinations by such physicians and medical consultants as Employer shall, from time to time, require.
Permanently Disabled means a person who is 100% permanently disabled in accordance with R.I. Gen. Laws §§ 20-2-31 and 20-2.2-3.
Permanently Disabled means any medically determinable physical or mental impairment which can be expected to result in death or can be expected to last for a continuous period of not less than twelve (12) months that results in Executive (i) being unable to engage in any substantial gainful activity; or (ii) receiving income replacement benefits for a period of not less than three (3) months under the Bank’s long-term disability plan covering Executive.
