Performance Level II definition

Performance Level II means, at any date of determination, (a) that the Performance Level does not meet the requirements of Performance Level I and (b) that the Borrower shall have a Borrower Debt Rating in effect on such date of at least BBB+ by S&P or at least Baa1 by Moody’s.
Performance Level II means, at the date of determination, that (a) the Performance Level does not meet the requirements of Performance Level I and (b) the Borrower and its Subsidiaries shall have maintained for the most recently completed four consecutive fiscal quarters of the Borrower and its Subsidiaries prior to such date (i) an Interest Coverage Ratio of greater than or equal to 5.0 to 1 and (ii) a Leverage Ratio of less than or equal to 2.0 to 1.
Performance Level II means, at any date of determination, that (a) the Performance Level does not meet the requirements of Performance Level I and (b) the Borrower and its Subsidiaries shall have maintained a Leverage Ratio of less than 2.50:1 for the most recently completed Measurement Period prior to such date.

Performance Level II means, at any date of determination, that (a) the Leverage Ratio of the U.S. Borrower and its Restricted Subsidiaries does not meet the requirements for Performance Level I and (b) the U.S. Borrower and its Restricted Subsidiaries shall have maintained a Leverage Ratio of less than 3.75:1.00 for the most recently completed Measurement Period prior to such date.
