PER DIEM FEES definition

PER DIEM FEES means a fee paid for attendance at or participation in (i) each meeting of the Board, (ii) each meeting of a committee of the Board when such meeting is held on a day other than a day for which a fee is paid for a meeting of the Board, (iii) each day of services to the Company requested by the chairman of the Board, and (iv) services similar to those specified in (i), (ii), or (iii) above, provided to any Subsidiary.
PER DIEM FEES means a fee, established by the Board, authorized by the Chief Executive Officer of the Company, in his or her sole discretion, to a Director who is asked to work on Board issues for a significant part of the day outside of normal Board or committee meetings.
PER DIEM FEES means a fee authorized to be paid by the Chairman of the Board (or a designated Director if at an applicable time the Chairman of the Board is also an employee of the Company), in his or her sole discretion, to a Director who is asked to work on Board issues for a significant part of the day outside of normal Board or standing committee service.
