PE LLC Memberships means any and all of PE’s direct or indirect limited liability membership interests in the PE Affiliates; excepting however the PE Excluded Property.
Membership means the definition of that term under section 6 as in effect for the particular fiscal year for which a particular calculation is made.
New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)
Membership Card means a card issued by the Club to indicate membership of a Membership Scheme.
Class B Members means all such Persons.
membership dues means the dues established pursuant to the constitution of the Association as the dues payable by employees as a consequence of their membership in the Association and shall not include any initiation fee, insurance premium or special levy (« cotisations » ou « retenues syndicales »);
Membership Interests has the meaning set forth in the recitals.
SLDC means the State Load Dispatch Center as notified by the State Government.
Membership Rights means all of the rights of a Member in the Company, including a Member’s: (a) Interest; (b) right to inspect the Company’s books and records; (c) right to participate in the management of and vote on matters coming before the Company; and (d) unless this Operating Agreement or the Certificate of Formation provide to the contrary, right to act as an agent of the Company.
Team Members means the members of the Team, jointly and severally;
GP means Gottbetter & Partners, LLP.
Founders means all Members immediately prior to the consummation of the IPO.
Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.
Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.
Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.
Class A Members means those Members who have purchased Class A Interests.
Pledged Partnership Agreements means all of each Grantor’s rights, powers, and remedies under the partnership agreements of each of the Pledged Companies that are partnerships.
Founding Companies has the meaning set forth in the third recital of this Agreement.
Consortium Members means the members of the Consortium, formed by the Bidder for purposes of the Transaction in accordance with this RFP and shall include members who have submitted the Format for Consortium Agreement (Annexure 5) specified in the RFP.
Membership Agreement means the agreement between the Foundation and each Member regarding each such Member’s rights and obligations as a Member.
Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.
Voting Members has the meaning set forth in Section 4.07(b).
General Partners means all such Persons.
Partnership Agreements means the partnership agreements together with all agreements, certificates and other documents provided to and approved by Lender and which govern the existence, operation and ownership of the Partnerships.
economic operators means the manufacturer, the authorised representative, the importer and the distributor;
Associate Members means the individuals or firms which have agreed to Joint Venture in connection with the Project;
Partnerships is defined in the Recitals of this Agreement.
