PDL Know-How definition

PDL Know-How means all Information Controlled by PDL during the term of the Agreement that is necessary or reasonably useful for EXEL to (a) fulfill its obligations under the Research Plan, or (b) develop, import, use, manufacture, market or sell EXEL Products, but excluding the PDL Patents and excluding all Information Controlled by PDL that relates to antibodies other than EXEL Products (including, without limitation, general methods for the humanization or manufacture of antibodies), except to the extent the Parties agree pursuant to Section 5.9(c).
PDL Know-How means all Know-How that is (a) Controlled by PDL or its Affiliates at any time during the Term and (b) reasonably necessary or useful for Biogen Idec to (i) perform its obligations under this Agreement; or (ii) develop or commercialize a Collaboration Product or a Royalty Product in the Field; provided that PDL Know-How shall not include methods of manufacturing, production and test methods, procedures and batch records, manufacturing and testing summary data, process and assay validation information, designing, developing or preparing Antibodies including methods of humanizing Antibodies, methods of reducing the immunogenicity of Antibodies, methods of modifying effector function, and methods of increasing the affinity or half-lives of Antibodies unless necessary for Biogen Idec to perform its Development or Commercialization obligations or to exercise its rights hereunder.
PDL Know-How means, except as otherwise set forth in this Section 1.26, all inventions, discoveries, trade secrets, information, experience, data, formulas, procedures and results in the Field, and improvements thereon, including any information regarding the physical, chemical, biological, toxicological, pharmacological, clinical, and veterinary data, dosage regimens, control assays and specifications of Daclizumab (collectively, “Know-How in the Field”), that is owned or Controlled by PDL or its Affiliates as of the Effective Date or that is developed or Controlled by PDL or its Affiliates during the term of this Amended and Restated Worldwide Agreement, and which Know-How in the Field is reasonably required or useful for manufacturing, using or selling Daclizumab; provided, however, that PDL Know-How excludes any Know-How in the Field of any kind concerning generic methods of manufacturing, designing, developing or preparing antibodies including, but not limited to, methods of humanizing antibodies, methods of reducing the immunogenicity of antibodies, and methods of increasing the affinity of antibodies.
