Payment Adjustment Amount definition

Payment Adjustment Amount means an amount equal to the product obtained by multiplying (i) $3,880,000 by (ii) a fraction, the numerator of which is the amount in dollars by which Client/Clinic Revenue exceeds the Minimum Target Client/Clinic Revenue and the denominator of which is $11,000,000; provided, that in no event shall the Payment Adjustment Amount exceed $3,880,000.
Payment Adjustment Amount has the meaning set forth in Section 2.8.

  • OWNER shall notify LESSEE by telefax or otherwise of the Payment Adjustment Amount so calculated.
