Participating ULBs definition

Participating ULBs means the MC 1 and the MC 2 which are party to this Agreement, and include any other urban local body which may at a later date become party to the this Agreement by signing the Participation Deed.

Participating ULBs means any one or more of the ULBs participating in the Project, namely: Belgaum, Gulbarga and Hubli-Dharwad;

• It shall make a report of such inspection (the “O&M Inspection Report”) stating in reasonable detail the defects or deficiencies, if any, with particular reference to the Operation & Maintenance Requirements, Operation & Maintenance Manual, and Safety Requirements, and send a copy thereof to the Participating ULBs and the Concessionaire within 7 (seven) days of such inspection.

• The Participating ULBs shall adhere to operational standards for operation and maintenance of the transportation system, as per guidelines.

• A copy of the Daily Weight Sheet shall be sent to the Participating ULBs and the State Government by the Concessionaire.

• In order to achieve economies of scale and for better coordination and implementation of the MSW Services, the Participating ULBs and APDISCOMs have designated the Authorized Representative to select and appoint a Concessionaire to develop the Project (as defined hereinafter), for enabling construction of a Municipal Solid Waste (MSW) to Energy Processing Facility, and perform, execute and implement the Project under and in accordance with the terms and provisions of this Agreement.

• Accordingly, the Concessionaire shall perform the services with diligence and promptness and generally manage the MSW system of the Participating ULBs as a model for the Country.

• The Concessionaire shall also effect and maintain such insurances as may be necessary for mitigating the risks that may devolve on the Participating ULBs as a consequence of any act or omission of the Concessionaire during the Construction Period.

• The Participating ULBs shall have the right to inspect the records of the Concessionaire during office hours and require copies of relevant extracts of books of accounts, duly certified by the Statutory Auditors, to be provided to the Participating ULBs for verification of basis of payments, and in the event of any discrepancy or error being found, the same shall be rectified and such rectified account shall form the basis of payments by either Party under this Agreement.

• Free cash inflows from operating activities for the period were$23,180,689.

• Accordingly each Participating ULBs agrees that any decision, communication, notice, action or inaction of the Lead ULB on matters specified under this Agreement to be dealt with by the Lead ULB shall be deemed to have been on its/his behalf and shall be binding on each of the Participating ULB.
