Participating Securityholders definition

Participating Securityholders means each Company Stockholder and each holder of Company Options, as of immediately prior to the Effective Time.

Participating Securityholders means, the holders of shares of Lime Stock, Exercisable Lime Options and the Lime Warrant, in each case, outstanding as of immediately prior to the Effective Time, other than holders of Extinguished Shares or Dissenting Shares as set forth in Sections 3.1(d) and 3.1(f).

Participating Securityholders means, as of immediately prior to the Closing, each holder of the following Company Securities, to the extent they hold such Company Securities: (i) shares of Company Common Stock (including shares of Company Common Stock resulting from the Company Preferred Conversion and the Company Convertible Note Conversion and shares of Company Restricted Stock but excluding Cancelled Shares and Dissenting Shares); (ii) vested In-the-Money Company Warrants; (iii) outstanding Company RSUs to the extent such Company RSUs are vested; (iv) vested In-the-Money Company Options; provided that, for the avoidance of doubt, the Participating Securityholders shall not include any holders of the following securities, to the extent they hold such securities: (A) unvested In-the-Money Company Warrants; (B) Out-of-the-Money Company Warrants; (C) any shares of Parent Common Stock issued or issuable with respect to any Pubco Restricted Stock or the settlement of any Converted RSUs; (D) unvested In-the-Money Company Options or Out-of-the Money Company Options; (E) Company RSUs to the extent such Company RSUs are unvested; or (F) Permitted Financing Securities.

Participating Securityholders means each Non-Dissenting Stockholder holding Company Common Stock and each holder of In-the-Money-Options, Company RSUs and Company Put Warrants (other than Excluded Company Warrants), each as of immediately prior to the Effective Time.

Participating Securityholders for purposes of this section shall mean (A) the Participating Securityholders, (B) the Management Carveout Plan Recipients and (C) Permitted Purchaser Share Transferees who are transferred the right to receive Parent Consideration Shares in accordance with this Section 1, and who shall have third-party beneficiary rights under this Section 1; and (ii) “Parent Consideration Shares” for purposes of this section shall mean (A) the shares of Parent Consideration Shares issued to the Participating Securityholders (as defined in this Section 1.12(e)) under this Agreement and (B) any securities issued or issuable upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing in clause (ii)(A).
