Participating Class B Common Unit definition

Participating Class B Common Unit means, with respect to any Distribution pursuant to Section 4.1(b), a Class B Common Unit that has a Participation Threshold that is less than the amount determined by dividing (i) the sum of (A) the amount of such Distribution pursuant to Section 4.1(b) and (B) the Participation Thresholds of all outstanding Class B Common Units that have an equal or lesser Participation Threshold, by (ii) the sum of (A) the number of outstanding Class A Common Units and (B) the number of outstanding Class B Common Units that have an equal or lesser Participation Threshold.

Participating Class B Common Unit means, with respect to any Distribution pursuant to Section 4.1(a)(iii), a Class B Common Unit that has a Participation Threshold that is less than the amount determined by dividing (a) the sum of (i) the amount of such Distribution pursuant to Section 4.1(a)(iii) and (ii) the sum of the Participation Thresholds of all outstanding Class B Common Units (including the Participating Class B Common Unit) that have an equal or lesser Participation Threshold to such Class B Common Unit by (b) the sum of (i) the number of outstanding Class A Common Units and (ii) the number of outstanding Class B Common Units that have an equal or lesser Participation Threshold to such Class B Common Unit.

Related to Participating Class B Common Unit

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • Class A Unit means a Unit representing a fractional part of the equity interest in the Company having the rights and obligations specified with respect to the Class A Units in this Agreement.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class C Percentage Interest As of any date of determination, with respect to the Class C Certificates, a percentage interest equal to a fraction, the numerator of which is the Class Principal Balance of the Class C Certificates on such date, and the denominator of which is the Class Principal Balance of the Class C Regular Interest on such date.

  • Preferred Unit means a fractional, undivided share of the Partnership Interests that has distribution rights, or rights upon liquidation, winding up and dissolution, that are superior or prior to the Common Units that the General Partner has authorized pursuant to Section 4.2 hereof.

  • Class A Common Shares means shares of the Class A Common Stock, par value $.01 per share, of the Company.

  • Company Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of the Company.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Participating Class Members means all Class Members who do not submit valid

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of the Company.

  • Class C Member means a Member holding the Class C Ordinary Share.

  • Class D Common Stock means the Class D Common Stock, par value $0.01 per share, of the Company.

  • Class A Common means the Company's Class A Common Stock, par value $.01 per share.

  • Class B Percentage Interest As of any date of determination, with respect to the Class B Certificates, a percentage interest equal to a fraction, the numerator of which is the Class Principal Balance of the Class B Certificates on such date, and the denominator of which is the Class Principal Balance of the Class B Regular Interest on such date.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Participating Class Member means a Class Member who does not submit a valid and timely Request for Exclusion from the Settlement.

  • Series A Preferred Unit means a Preferred Unit having the designations, preferences, rights, powers and duties set forth in Article XVI.

  • Class B Unit means a Partnership Unit which is designated as a Class B Unit of the Partnership.
