Participant’s Account means an account maintained for each Participant’s participation in DSUs and/or RSUs under the Plan;
Top Heavy Plan Year means a Plan Year during which the Plan is a Top Heavy Plan.
Eligible Participant means an employee, officer, consultant or director of the Company or any Affiliate.
Award Cycle means a period of consecutive fiscal years or portions thereof designated by the Committee over which Performance Units are to be earned.
Disabled Participant with respect to a loan if it has no right to exercise any voting or other control rights with respect to such loan (other than the right to approve amendments to the material economic terms of such loan).
Bonus Deferral means the amount of a Participant’s Bonus Compensation which the Participant elects to have withheld on a pre-tax basis from his Bonus Compensation and credited to his account pursuant to Section 4.1.
Top Heavy Plan means a plan described in Section 9.2(a).
Participant’s records means the records prepared and maintained by the Contractor (in whatever form or storage media) concerning an individual Participant.
Payout means that time at which cash distributions have been made by the Limited Partnership to the Unit Holders (together with their predecessors in interest) pursuant to Section 5.1 of the Limited Partnership Agreement (together with any distributions to such Unit Holders pursuant to Section 3.3 of the Limited Partnership Agreement), in an aggregate amount equal to the Unit Holders' Subscriptions to the Limited Partnership.
Participants is defined in Section 12.2.1.
Section 162(m) Participant means any key Employee designated by the Administrator as a key Employee whose compensation for the fiscal year in which the key Employee is so designated or a future fiscal year may be subject to the limit on deductible compensation imposed by Section 162(m) of the Code.
Plan Year means the calendar year.
Accrued Benefit means the amount standing in a Participant's Account(s) as of any date derived from both Employer contributions and Employee contributions, if any.
Covered Employer means the City of Cambridge or a Beneficiary of Assistance.
Disability Benefit means the benefit set forth in Article 8.
Award Year means a fiscal year beginning January 1 and ending December 31 with respect to which an Award may be granted.
Eligible Participants means persons who, at a particular time, are employees, officers, consultants, or directors of the Company or its subsidiaries;
Disability benefit recipient means a member who is receiving a disability benefit.
Covered Executives means the Company’s current and former executive officers, as determined by the Administrator in accordance with the definition of executive officer set forth in Rule 10D-1 and the Listing Standards.
Former Participant means a person who has been a Participant, but who has ceased to be a Participant for any reason.
Award Opportunity means a cash award opportunity established under the Plan for a Participant by the Committee pursuant to such terms, conditions, restrictions and/or limitations, if any, as the Committee may establish.
Other Participant means a cooperative project participant other than the United States.
Deferral Date means the date Fees would otherwise have been paid to the Participant.
Covered Employee means an employee who is a “Covered Employee” within the meaning of Section 162(m) of the Code.
Covered Employment means employment in a covered position.
Super Top Heavy Plan means a plan described in Section 2.2(b).
