Parent Termination Payment means a cash amount equal to $153,000,000 (one hundred fifty-three million dollars); or

Parent Termination Payment means (i) if payable in connection with a termination of this Agreement by the Company or Ultimate Parent pursuant to Section 9.1(d)(iii), an amount equal to $245,000,000 and (ii) if payable in any other circumstance, an amount equal to $280,000,000.

Parent Termination Payment means an amount equal to $832,000,000.

Examples of Parent Termination Payment in a sentence

The payment or deposit into escrow of the Parent Termination Payment, plus the Parent Expenses and the Recovery Costs, pursuant to this Section 9.4(a) shall be made at the time Parent is obligated to pay the Company such amount pursuant to Section 9.3 by wire transfer.
In no event shall NYSE Euronext be obligated pursuant to this Section 6.5 to pay more than one NYSE Euronext Termination Payment and in no event shall NASDAQ OMX or ICE be obligated pursuant to this Section 6.5 to pay more than one Parent Termination Payment.
