Parent Owned Real Property definition

Parent Owned Real Property shall have the meaning ascribed to it in Section 5.15.
Parent Owned Real Property means the material real property and interests in real property owned by Parent and its Subsidiaries other than the Parent Oil and Gas Properties.
Parent Owned Real Property means all material real property owned by the Parent and its Subsidiaries.

With respect to each such parcel of Parent Owned Real Property, except where the failure of any of the following to be true and correct would not, individually or in the aggregate, reasonably be expected to have a Parent Material Adverse Effect: (i) the owner has possession of, adequate rights of ingress and egress with respect to, and good and marketable fee simple title to each Parent Owned Real Property, free and clear of any Liens, except for Permitted Liens; (ii) there are no pending or, to Parent’s knowledge, threatened condemnation proceedings and no tenant or other party in possession of any of the Parent Owned Real Property has any right to purchase, or holds any right of first refusal to purchase, any of such properties; and (iii) other than Permitted Liens, there are no other matters that would adversely affect the title of Parent or any of its Subsidiaries.
