Parent Identified Products definition

Parent Identified Products means: (i) subscriptions, services, licenses and training relating to Parent's OnDemand businesses in existence as of the date of that certain Amendment No. 3 to Agreement and Plan of Merger and Reorganization dated September 9, 2005 between Parent and the Shareholders' Agent ("Amendment No. 3"), including CRM OnDemand, Siebel 7 OnDemand, Siebel 8 OnDemand, Contact OnDemand and Siebel UpShot Edition; and (ii) any products and/or services that, after the date of Amendment No. 3, are sold by Parent as an enhancement, substitute or replacement for the products and services set forth in clause "(i)" above (it being understood that the Parent Identified Products shall not include Siebel Professional Edition or any products and/or services acquired by Parent or any of its affiliates after the date of Amendment No. 3 (whether or not related to Parent's OnDemand businesses), except for: (A) products and/or services that are sold by Parent as an enhancement, substitute or replacement for the products and services set forth in clause "(i)" above; and (B) products and/or services acquired by Parent after the date of Amendment No. 3 that are included with the Parent Identified Products at no extra charge).
