Parent Group Companies definition

Parent Group Companies means, collectively, Parent and each of its Subsidiaries.
Parent Group Companies means AINC and its subsidiaries and affiliates, including without limitation the Chesapeake Companies and Parent and its direct and indirect subsidiaries.
Parent Group Companies means Parent and its Subsidiaries; for the avoidance of doubt, Parent Group Companies shall not include Merger Subs until their respective incorporations.

  • As PCCW is a substantial shareholder of the Company, PCCW and its associates (hence the Parent Group Companies, HKT and the HKT Group Companies) are connected persons of the Company under the Listing Rules.

  • As PCCW is a substantial shareholder of the Company, PCCW and its associates (hence the Parent Group Companies, HKT and the HKT Group Companies) are connected persons of the Company under Chapter 14A of the Listing Rules.

  • Without limiting the generality of the foregoing, the Parent Group Companies hold and are in material compliance with all permits, licenses and other authorizations that are required pursuant to Environmental Laws.

  • Group Companies means the Company and its Subsidiaries.

  • Target Companies means the Target and its Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Company Entities means the Company and its Subsidiaries.

  • Parent Companies means Parent and its Subsidiaries;

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Parent Business has the meaning set forth in the Separation and Distribution Agreement.

  • Material Group Company means the Issuer or a Subsidiary representing more than 10.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the EBITDA of the Group on a consolidated basis according to the latest Financial Report.
