Paity definition

Paity means Purchaser or Seller, and "Parties" means both Purchaser and Seller. Member is a Party to this Confirmation for the purposes of Section 8 of the Special Conditions.

  • If both Contracting Parties cannot reach an agreement within six months after the beginning of the dispute between themselves, the dispute shall, upon request of either Contracting Party, be submitted to an arbitration tribunal which shall be constituted as follows - ' Each Contracting Paity shall appoint an arbitrator and these two arbitrators shall nominate a chairman who shall be a national of a third State, which maintains diplomatic relations with both Contracting Parties.

  • The Parties hereby acknowledge and agree that, in the event of any breach of this Agreement by either Party, including, without limitation, the actual or threatened disclosure of a Party's Confidential Information without the express prior written consent of that Paity, such Party will suffer irreparable harm and injury and no remedy at law will afford it adequate protection against, or appropriate compensation for, such injury.

  • Nothing herein contained shall be deemed to constitute any Party a partner, agent or legal representative of the other Paity or to create a joint venture, pa1tnership, agency or any relationship between the Parties.

  • If (a) the failure of any Paity to comply wi th any provision of th is Agreement is unintentional or the result of a misunderstanding or oversight and (b) such fai lure to comply is promptly rectified after discovery, the Parties shall be restored as closely as possible to the positions they would have occupied if no error or oversight bad occurred.

  • This Agreement constitutes the entire understanding between the Pa1ties with respect to the subject matter hereof, and except for the CDA, which shall continue in full force and effect with respect to any disclosures by a Paity made prior to the Effective Date, this Agreement shall supersede and replace all prior agreements, understandings, writings and discussions between the Parties relating to said subject matter.

  • Such Paity (a) is a corporation duly organized, validly existing and in good standing under the laws of the jurisdiction in which it is incorporated, and (b) has the power and authority and the legal right to own and operate its property and assets, and to carry on its business as it is now being conducted.

  • Provider is in the business of providing home care and supplemental staffing services; and, Contracting Paity is in the business of providing Educational Programs to local students.

  • No change or modification of this Agreement shall be valid unless it is in writing and signed by each Paity hereto.

  • Notwithstanding the Te1m of this Agreement, City or Manager may te1minate this Agreement for any reason at any time during the Te1m upon sixty (60) days' Notice to the other Paity.

  • This Agreement shall not be construed more strongly in favor of or against either Paity regardless of which Party is responsible for its preparation.
