The Borrower will, at all times, have a Owners Equity of not less than the Minimum Required Amount.
The term "substantial" as used herein shall mean with reference to any transaction after giving effect to all prior transactions of the type covered hereby during the same fiscal year, an amount equal to 5% of the Owners Equity of the Borrower and its Subsidiaries as of the last day of the immediately preceding fiscal year computed on a consolidated basis in accordance with GAAP.
