Owned Shares definition

Owned Shares means all shares of Company Common Stock and any other equity securities of the Company which are beneficially owned by Stockholder as of the date hereof, as set forth on Schedule I.

Owned Shares means the Company Common Shares Beneficially Owned by the Shareholder as of the applicable record date (including any Company Common Shares that the Shareholder may acquire after the date hereof) for which the Shareholder has sole voting power.

Owned Shares has the meaning set forth in Section 2.1.

Examples of Owned Shares in a sentence

• Any amendment effected in accordance with clause (ii) of the foregoing sentence shall be binding upon the Company and all the Purchasers (and to the extent provided for in Section 9.3, any and all permitted transferees of the Purchaser Owned Shares as if it were a Purchaser hereunder).

• After a Transfer of any Purchaser Owned Shares in accordance with the foregoing sentence, in the event of any amendment to Section 9.1, 9.2, 9.3, 9.8 or 9.13 of this Agreement, such transferee shall be deemed the “Purchaser” in respect of the Purchaser Owned Shares subject to such Transfer in lieu of the Transferring Purchaser for purposes of Section 9.8.

• After a Transfer of any Purchaser Owned Shares in accordance with the foregoing sentence, in the event of any amendment to Section 10.01, 10.02, 10.03, 10.08 or 10.13 of this Agreement, such transferee shall be deemed the “Purchaser” in respect of the Purchaser Owned Shares subject to such Transfer in lieu of the Transferring Purchaser for purposes of Section 10.08.

• If, after the Effective Time, Certificates or Book-Entry Shares (other than Certificates or Book-Entry Shares representing Dissenting Shares, Parent Owned Shares and shares of Common Stock held in the treasury of the Company) are presented to the Surviving Corporation, they will be cancelled and exchanged for Merger Consideration as provided in this Article II.

• Each of UST, Canada and the VEBA hereby agrees that it shall not enter into any agreement, contract or understanding with any Person (prior to the termination of this Agreement with respect to such Holder) directly or indirectly to vote, grant a Proxy or power of attorney or give instructions with respect to the voting of such its Owned Shares in any manner that is inconsistent with this Agreement.

More Definitions of Owned Shares

Owned Shares means the shares of Company Common Stock owned by Shareholder (either of record or through a nominee), together with any other shares of Company Common Stock and any securities (other than Investor Warrants) convertible into or exercisable or exchangeable for such securities (whether or not subject to contingencies with respect to any matter or proposal submitted for the vote or consent of shareholders of the Company) now or hereafter Beneficially Owned by Shareholder.

Owned Shares shall have the meaning set forth in the recitals.

Owned Shares means Shares that a Participant has acquired through the exercise of a Stock Option or a Stock Appreciation Right, the vesting of Restricted Stock, the settlement of a Restricted Stock Unit or a distribution of Shares in connection with an Other Stock-Based Award.

Owned Shares means, with respect to the Stockholder, the shares of Company Common Stock described in Section 2(c), together with any other shares of Company Common Stock acquired by the Stockholder after the date hereof.

Owned Shares means all shares of the Company Common Stock and any other equity securities of the Company which are beneficially owned by the Stockholder or any of its affiliates as of the date hereof.

Owned Shares means all of the shares of Public Preferred Stock and other equity securities of the Company that are Owned by the Preferred Stockholders as of the date of this Agreement, together with any other equity securities of the Company where the power to dispose of or the voting power over which is acquired by any Preferred Stockholder during the period from and including the date hereof through and including the expiration of the Voting Period.

Owned Shares means the Shares Beneficially Owned by Shareholder as of the date of this Agreement and set forth below his or its name on the signature page hereto and any Shares acquired or that otherwise become Beneficially Owned by Shareholder on or after the date of this Agreement; provided, however, that the term “Owned Shares” shall not include Shares for which the Shareholder only has the right to acquire unless such Shares are acquired.
