Outstanding Preferred Shares definition

Outstanding Preferred Shares has the meaning set forth in Section 2.7(b).
Outstanding Preferred Shares means Series A Convertible Preferred Shares, Series D Convertible Preferred Shares, Series E Convertible Preferred Shares issued by the Company, and Series F Convertible Preferred Shares issued by the Company, which are outstanding and superior to the Preferred Shares in dividend rights or liquidation preference.
Outstanding Preferred Shares means Series A Convertible Preferred Shares, Series D Convertible Preferred Shares, Series E Convertible Preferred Shares, and Series F Convertible Preferred Shares issued by the Company that are outstanding at the time of liquidation as of the date of this Agreement.

More Definitions of Outstanding Preferred Shares

Outstanding Preferred Shares means, as of any date, Preferred Shares theretofore issued by the Trust except, without duplication, (i) any Preferred Shares theretofore canceled, redeemed or repurchased by the Trust, or delivered to the Auction Agent for cancellation or with respect to which the Trust has given notice of redemption and irrevocably deposited with the Paying Agent sufficient funds to redeem such Preferred Shares and (ii) any Preferred Shares represented by any certificate in lieu of which a new certificate has been executed and delivered by the Trust. Notwithstanding the foregoing, (A) for purposes of voting rights (including the determination of the number of Preferred Shares required to constitute a quorum), any Preferred Shares of which any Affiliate of the Trust shall be the Existing Holder shall be disregarded and not deemed outstanding; (B) in connection with any Auction, any Preferred Shares as to which any Person known to the Auction Agent to be an Affiliate of the Trust shall be the Existing Holder thereof shall be disregarded and deemed not to be outstanding; and (C) for purposes of determining the ARPS Basic Maintenance Amount, Preferred Shares held by any Affiliate of the Trust shall be deemed outstanding.
Outstanding Preferred Shares each an "Outstanding Preferred Share" shall mean the Preferred Shares issued and outstanding immediately prior to the Effective Time (other than Preferred Shares owned beneficially by the Buyer or the Transitory Subsidiary, Dissenting Shares and Preferred Shares held in the Company's treasury).
