Outstanding Common Stock Equivalents definition

Outstanding Common Stock Equivalents means the Common Stock Equivalents outstanding on the Closing Date and listed on Schedule 1 hereto.
Outstanding Common Stock Equivalents means the number of shares of Company Common Stock Outstanding, plus the number of In-The-Money Options, determined immediately prior to the Effective Time.
Outstanding Common Stock Equivalents as used in this Section 2.11 shall mean (i) the number of shares of common stock actually outstanding, (ii) the number of shares of common stock into which the then outstanding Investor Shares could be converted if fully converted on the day immediately preceding the given date, and (iii) the number of shares of common stock which could be obtained through the exercise or conversion of all other rights, options, warrants, and convertible securities outstanding on the day immediately preceding the given date.
