  • With respect to each Outside Serviced Trust Loan serviced under the applicable Other Pooling and Servicing Agreement, the Master Servicer will use commercially reasonable efforts to procure, and upon receipt deliver to the Certifying Person, a Xxxxxxxx-Xxxxx back-up certification similar in form and substance to the applicable certification from the related Outside Servicer, the related Outside Special Servicer, the related Outside Paying Agent and the related Outside Trustee.

  • Upon receipt of any notice of execution of an Other Pooling and Servicing Agreement with respect to an Outside Serviced Trust Loan or notice of any Reportable Event with respect to any Outside Service Provider of an Outside Serviced Trust Loan, the Trustee or the Certificate Administrator, as the case may be, shall promptly notify the Depositor of such notice and cooperate with the Depositor to prepare and file on behalf of the Trust any Form 8-K, as required by the Exchange Act.

  • In addition to the foregoing, with respect to the Eastmont Town Center Loan Combination, after the Eastmont Town Center Controlling Note Securitization Date the related Mortgage Loan shall be an Outside Serviced Trust Loan, and the rights, duties and obligations of the Issuing Entity and the parties to this Agreement shall be as set forth herein with respect to Outside Serviced Trust Loans.
