Other Transfers definition

Other Transfers means any sales or transfers of any portion of the Stock Consideration other than Subsequent Sales; and “Cash Value” shall be calculated using the share price of Greenfield Common Stock (or such other shares of capital stock as may have been exchanged or received for Greenfield Common Stock) at the close of business of Nasdaq for the day the Seller is to deliver the cash or shares, as the case may be, to the Purchaser pursuant to the foregoing sentence. Other Transfers. To deliver securities, funds and other property of the Fund to a Subcustodian or another custodian of the Fund; and, upon receipt of proper instructions, to make such other disposition of securities, funds or other property of the Fund in a manner other than or for purposes other than as enumerated elsewhere in this Agreement, provided that the instructions relating to such disposition shall include a statement of the purpose for which the delivery is to be made, the amount of securities to be delivered and the name of the person or persons to whom delivery is to be made.
