Other Stock definition

Other Stock means the securities of the Company into which Warrant Stock may be converted pursuant to the terms of Warrant Stock, which may include but not be limited to another class or series of common stock of the Company, but only if the terms of the Warrant Stock provide for such conversion.
Other Stock means (i) any class or series of preferred stock or other capital stock of the Corporation, other than Common Stock, Common Stock Equivalents and New Preferred Stock and (ii) any securities of the Corporation or of any subsidiary of the Corporation that would entitle the holder thereof to acquire, directly or indirectly, at any time any capital stock listed in clause (i), including, without limitation, any debt, preferred stock, right, option, warrant or other agreement, document or instrument that is at any time convertible into, exercisable for or exchangeable for, or otherwise entitles the holder thereof to receive, directly or indirectly, any capital stock listed in clause (i).
Other Stock means the Common Stock and shall also include all other stock of the Corporation of any other class other than Convertible Stock. A reclassification of the Other Stock into shares of Other Stock and shares of any other class of stock shall be deemed a distribution by the Corporation to the holders of its Other Stock of such shares of such other class of stock within the meaning of this Subsection and, if the outstanding shares of Other Stock shall be changed into a larger or smaller number of shares of Other Stock as a part of such reclassification, shall be deemed a subdivision or combination, as the case may be, of the outstanding shares of Other Stock within the meaning of this Subsection a(i).

Examples of Other Stock in a sentence

  • If the Warrant Stock issuable under this Warrant has been automatically converted into Other Stock, this Warrant shall automatically convert into a right to purchase Other Stock, and the Warrant Exercise Price shall be divided by the number of shares of Other Stock which were received upon conversion of one share of such Warrant Stock at the time of such automatic conversion.

  • The Company covenants and agrees that all Warrant Stock which may be issued upon the exercise of the rights represented by this Warrant (any Other Stock receivable upon any conversion of Warrant Stock) will, upon issuance, be fully paid and nonassessable and free from all taxes, liens and charges with respect to the issue thereof (excluding taxes based on the income of Holder).

  • Such Other Stock or Cash Based Awards will also be available as a payment form in the settlement of other Awards, as standalone payments and as payment in lieu of compensation to which a Participant is otherwise entitled.

  • Subject to the provisions of the Plan, the Board shall have authority in its sole discretion to determine the terms and conditions of such Other Stock Awards, including the number of Shares (or the cash equivalent thereof) to be granted pursuant to such Awards.

  • Until all of such Options and Option Shares are purchased and paid for by the Company, the Optionholder and the Other Optionholders whose Options and Option Shares are not purchased in accordance with this Section 13 shall have priority, on a pro rata basis, over other purchases of Options and Option Shares by the Company pursuant to this Agreement and Other Stock Option Agreements.


More Definitions of Other Stock

Other Stock means all capital stock of the Company, other than the Pledged Stock, now or hereafter held in the name of the Borrower.

Other Stock means any class of the Company's capital stock other than Common Stock, and any other security of the Company that, in the opinion of Roche, will or is likely to be treated as stock for purposes of Section 1504 of the Code.
